Public Offer for Business Partners of the Stepogram Service

1. General Provisions

1.1. This public offer, containing all essential contract terms and acting as a public offer according to Article 367 and part two of Article 369 of the Civil Code of the Republic of Uzbekistan (hereinafter referred to as the Civil Code of RUz), (hereinafter – the Offer) is a proposal from the physical activity motivation service Stepogram.com (hereinafter – the Service) to legal entities and individual entrepreneurs (hereinafter – Business Partners), aimed at cooperation in the distribution of coupons/vouchers for goods and services through the Service platform.

1.2. The owner of the program is the individual entrepreneur "KAMILOV DJAXONGIR ULUGBEKOVICH", hereinafter referred to as the "Organizer".

2. Terms of Cooperation

2.1. The Service provides Business Partners access to the Administrative Panel through the Telegram bot @StepogramBusinessBot, to manage employees responsible for the activation and management of coupons, as well as for adding new coupons.

2.2. Coupons in the service are divided into 3 categories:

By Amount: Users receive a discount of the specified amount when using a coupon at the Business Partner's establishment.
By Percentage: Users receive a percentage discount on the purchase of goods or services.
By Product: The coupon provides the user with a specific product (e.g., a cup of coffee).

3. Obligations Duties of Business Partners:

Timely adding and updating coupons in the Administrative Panel;
Accepting, activating, and issuing the bonus described on the coupon for Service users in their establishments.

Duties of the Service:

Posting coupons in a specialized section of the Stepogram application;
Providing users access to coupons and their acquisition for HLT (fitness coins), earned within the application's use.

4. Coupon Usage Terms

4.1. Coupons can be used by Service users in accordance with the conditions specified on the coupon.

4.2. Coupons cannot be exchanged for cash or transferred to third parties unless otherwise specified.

4.3. The validity of coupons is unlimited unless otherwise stated.

4.4. The Organizer is not responsible for the quality of services, goods, and works obtained from Business Partner(s).

4.5. A coupon is valid only once. This offer cannot be combined with other promotions, discounts, and offers unless the Organizer's Business Partners specify otherwise.

4.6. In case of violation of these public offer rules/committing dishonest actions to evade compliance with the public offer conditions, etc., the Organizer has the right to unconditionally exclude the Business Partner from participation in the coupon program. The Organizer reserves the right not to comment on its actions regarding the said Business Partner(s).

4.7. The Business Partner fully assumes the risk of any negative consequences that may arise in connection with the provision of inaccurate and/or false information about themselves by the Business Partner.

4.8. The Business Partner of the coupon program may withdraw from participation at any time by contacting the Organizer with 10 business days' notice to the Organizer.

4.9. The Organizer does not compensate for any and all expenses and costs that may arise for the Business Partner or a third party in connection with the conduct of this coupon program.

The Organizer is not liable for non-fulfillment or improper fulfillment of obligations due to failures in telecommunication and energy networks, actions of malicious programs, as well as dishonest actions of third parties aimed at unauthorized access and/or disabling of software and/or hardware complex. The Organizer has the right to unilaterally terminate or suspend the conduct of the coupon program or disqualify individual Business Partners if, for any reason, the coupon program or any part thereof cannot be implemented as planned, due to computer virus infection, defects, manipulations, unauthorized intervention, falsification, technical failures, or any uncontrollable reason by the Organizer that distorts or affects the execution, security, fairness, integrity of the coupon program.

4.10. The Organizer is not responsible for the information posted by Business Partners on the Service.

4.11. The Organizer does not cover the financial expenses of Business Partners. The Service is solely an informational platform

5. Dispute Resolution All disputes and disagreements arising in connection with the fulfillment of obligations under this Offer shall be resolved through negotiations. If an agreement cannot be reached – in accordance with the legislation of the Republic of Uzbekistan.

6. Final Provisions

6.1. The Offer becomes effective upon its acceptance by the Business Partner and remains in effect until the agreement is terminated by either party.

6.2. The Business Partner is considered to have accepted the terms of the Offer without reservations and exceptions from the moment of starting to use the Administrative Panel.

6.3. The Organizer reserves the right at any time without prior personal notification to the Business Partner to unconditionally make changes and/or additions to this Coupon Program or to terminate/suspend/cancel the conduct of the Program by posting the relevant information on the website https://stepogram.com/termsofuse_business
